Terms of Service

1. Acceptance of Terms

By installing, accessing, or using the Quoffer application ("App," "Service," or "Quoffer"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you ("Merchant," "you," or "your") and Quoffer ("we," "us," or "our").

2. Description of Service

Quoffer is a Shopify application that enables merchants to:

• Add "Make an Offer" functionality to their Shopify stores
• Set automatic acceptance and decline thresholds for customer offers
• Customize the appearance of offer buttons and forms
• Generate checkout links for accepted offers
• Manage and review customer offers

3. Eligibility

To use Quoffer, you must:

• Have an active Shopify store
• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the authority to bind the business entity you represent (if applicable)
• Comply with Shopify's Terms of Service

4. Account and Access

4.1 Installation

Quoffer is installed through the Shopify App Store. By installing the App, you authorize us to access certain data from your Shopify store as described in our Privacy Policy.

4.2 Account Security

You are responsible for maintaining the security of your Shopify account credentials. We are not liable for any unauthorized access resulting from your failure to protect your account.

5. Pricing and Payment

5.1 Early Access Pricing

During our early access period, Quoffer is free to use with all features included. When paid plans are introduced:

• Early adopters will receive special pricing
• We will provide advance notice before any pricing changes
• You will have the option to continue or cancel before being charged

5.2 No Commission Fees

Quoffer does not and will never charge commission fees on sales made through the App. Our business model is based on subscription pricing only.

5.3 Billing

When paid plans are introduced, billing will be processed through Shopify's billing system. All payments are subject to Shopify's payment terms and conditions.

6. Acceptable Use

You agree NOT to use Quoffer to:

• Violate any applicable laws or regulations
• Engage in fraudulent or deceptive practices
• Transmit malicious code or interfere with the App's operation
• Collect customer data for purposes unrelated to legitimate transactions
• Misrepresent the nature of offers or products
• Circumvent any access restrictions or security measures

7. Intellectual Property

7.1 Our Rights

Quoffer and all related technology, features, branding, and content are owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the App.

7.2 Your Content

You retain ownership of your store content, product information, and customer data. By using Quoffer, you grant us a limited license to access and process this data solely to provide the Service.

8. Data and Privacy

Your use of Quoffer is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the App, you consent to our data practices.

9. Disclaimers

9.1 Service Availability

Quoffer is provided "as is" and "as available." We do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue features at any time.

9.2 No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.3 Transaction Responsibility

You are solely responsible for all transactions conducted through your store, including offers accepted or declined through Quoffer. We are not a party to any transaction between you and your customers.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for lost profits, data loss, or business interruption

11. Indemnification

You agree to indemnify and hold harmless Quoffer, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Disputes with your customers

12. Termination

12.1 Your Right to Terminate

You may uninstall Quoffer at any time through your Shopify admin. Upon uninstallation, your access to the App will be terminated.

12.2 Our Right to Terminate

We may suspend or terminate your access to Quoffer if you violate these Terms or engage in conduct that we determine is harmful to our service or other users.

12.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. We may delete your configuration data after a reasonable retention period. Provisions that by their nature should survive termination will survive.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting updated Terms on our website
• Updating the "Last Updated" date
• Sending notification through the App or email (for significant changes)

Continued use of Quoffer after changes constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Quoffer regarding the App.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

15.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
